An examination of New Zealand’s financial markets law focusing on the Financial Markets Conduct Act 2013 and the Financial Markets Authority Act 2011.
The course will examine the purpose and history of New Zealand's capital markets, types of securities, disclosure theory, fair dealing provisions, primary and secondary capital markets, including insider trading, market manipulation and continuous disclosure. It will also address the role of the Financial Markets Authority and its enforcement powers, as well as touch on securities class actions.
It will consider the history of, and fundamental drivers for, the regulatory regime and enforcement framework that determine the approaches and activities of market regulatory regime. The course will feature guest lecturers from industry participants and regulators to provide an up-to-date and realistic assessment and application of the financial markets laws covered in the course.
